1Acceptance of the Terms

These Terms govern the access and use of the royalblueresortshotels.com website and the service channels of Royal Blue Resorts Hotels. When browsing the site, requesting a quote, sending a reservation request or talking to the concierge, you declare that you have read these Terms, that you have understood them and that you agree with them.

If you do not agree to any clause, do not use the site or the service channels.

These Terms are general. Each stay, each service contracted separately, each purchase and sale operation and each property management have its own instrument, adjusted in writing between the parties. If there is disagreement, the specific contract prevails over these Terms in whatever their object is.

2Who we are and what the site does

The site is maintained by [Social Reason], registered in CNPJ under the no [CNPJ], based in [SEE STANDARD], hereinafter called Royal Blue.

Royal Blue Resorts Hotels is an international brand dedicated to hospitality, seasonal rentals and real estate opportunities. It has and manages houses, villas, farms, field properties and hotels in Brazil, Italy and the United States — much of the portfolio belongs to the group itself; provides hospitality services; operates in the purchase, sale and investment in real estate in these three countries; and manages property of partner owners.

What the site does today:

• presents the properties available for stay, with photographs, characteristics and daily from a given value;
• presents properties for sale in Brazil, Italy and the United States;
• describes the house services — cleaning and governance, private chef and catering, concierge 24h, events;
• receives reservation requests, quote requests and contacts, which are answered by phone, e-mail and concierge.

What the site does not do: does not process payments, does not issue charges, does not automatically confirm reservations, is not a third party advertising platform and does not replace the contract of each operation. No amount is paid by the site.

3Eligibility

The site is intended for people over 18 years of age and civilly capable. By requesting a quote, a reservation or a service, you declare to be old and able to hire.

The person who hires on behalf of a legal person declares that he has the power to do so and answers for the veracity of that declaration.

The lodging of minors observes the law of the country where the property is. In Brazil, the Statute of Children and Adolescents (Law No. 8.069/1990) and the rules for the follow-up and authorization of travel apply. Minors only stay with parents or legal guardians, or with permission in the form required by local law.

4Permitted use of the site and sealed pipelines

The site can be freely consulted, for personal and non-commercial use: see the properties, read about the services, contact the house.

It is forbidden to the user:

• copy, reproduce, distribute, publish or commercially exploit texts, photographs, videos, mark, coat of arms or any part of the content without written permission from Royal Blue;
• use robots, spiders, scraping, data mining or any automated method of content extraction;
• try to access restricted areas, bypass security measures, reverse engineer or test vulnerabilities without authorization;
• introduce viruses, malicious code or any mechanism that harms the site, its infrastructure or other users;
• send false information, or data from third parties without authorisation;
• use the website for illicit purposes, fraud, money laundering or third party law violation;
• deliberately overload the site infrastructure.

Royal Blue may suspend or block the access of those who fail to comply with this section without prior notice and without prejudice to appropriate civil and criminal provisions.

5Quotations, booking requests and confirmation

Prices, dates and availability displayed on the site are informative and subject to confirmation. They may change at any time without notice.

Sending a reservation or quotation request creates no reservation, does not block dates and does not require Royal Blue. It is a manifestation of interest, and nothing else.

The reservation shall be made when the three conditions below are fulfilled:

• Royal Blue confirms in writing the property, dates, number of guests, services included and total value;
• the contractor also accepts in writing the conditions of stay — stay contract, cancellation policy and house rules;
• the payment of the signal or the first instalment is identified, in the form and within the time limit indicated in the confirmation.

Until that happens, the dates remain available to other guests.

A manifest error of price, description or availability — typing, system or updating — does not bind Royal Blue. In this case, the home informs the user and may correct the information or refuse the request before confirmation.

6Prices, currencies, taxes and local fees

Each property is quoted in the currency of the country where it is: real (R$) in Brazil, euros (€) in Italy and US dollars (US$) in the United States. The site does not convert values and does not offer exchange rate quotation.

The daily shown are values from, and vary according to season, length of stay, number of guests and services included.

Unless otherwise specified in written confirmation:

• the daily fee covers the accommodation and services expressly listed;
• transport, transfers, meals and experiences not listed, or separate contracted services are not included;
• taxes, tourism charges and municipal charges follow the law of the country and the place where the property is, and can be collected on site — in Italy, for example, the municipal stay fee is charged for ownership on behalf of the municipality;
• Exchange rate variation, bank rates, IOF and international transfer costs run on behalf of the payer.

The confirmed written value prevails over any value displayed on the site.

7Payment, security, cancellation and no-show

The site does not process payments. Means of payment, currency, parcels and deadlines are included in the written confirmation and stay agreement.

Security may be required prior to arrival, in value reported in confirmation, intended to cover damage, consumption and loss. The security shall be returned after the exit and inspection of the property, discounted whatever is due, within the time limit laid down in the contract.

Cancellation, change of dates and non-attendance follow the policy of the stay, informed before payment and reproduced in the contract.

• the cancellation is made in writing and takes effect on the date on which Royal Blue receives it;
• the retentions vary according to the advance of the cancellation and the season;
• the failure to submit on the date of entry and the early departure do not generate reimbursement, unless expressly provided in the contract.

In distance hires with consumers, the right of repentance of Article 49 of the Consumer Protection Code is observed within the limits of the law and interpretation applicable to hosting services with a given date. The policy of each stay details that point.

8House rules, guests, events and damage

Each property has its own rules — entry and exit times, maximum stocking, silence, animals, smoke, pool use and common areas. The rules are delivered in writing before arrival and are part of the stay contract.

• the number of guests informed in the reservation is the number authorized to stay; undeclared persons may be refused or generate additional charges;
• visits, parties and events depend on prior and written authorization, with self-contracting and, where applicable, licenses and insurance;
• who hires the stay responds to the conduct of all guests, companions and guests;
• damage to the property, furniture, equipment and external areas are the responsibility of the contractor and can be discounted from the security or charged separately for the repair or replacement value.

Royal Blue may interrupt the stay without refund in the event of serious violation of the house rules, of risk to persons or property, or of use of the property for different purposes from the contractor.

9Services contracted separately

Cleaning and governance, private chef and catering, concierge 24h and events accompany Royal Blue stays and can also be hired separately, for the home or the customer event.

• scope, team, dates, location and price are included in own offer and contract;
• the hiring of a separate service does not create a relationship of accommodation or right to use any property of the house;
• when Royal Blue hires external suppliers on behalf and order of the customer — transport, flowers, music, equipment rental — it acts as intermediary: the execution is from the supplier, without prejudice to the diligence of the house in choice and coordination.

Royal Blue may refuse a service request for unavailability of staff, unsuitable location or security risk.

10Real estate intermediation

Royal Blue presents properties for sale in Brazil, Italy and the United States and accompanies buyer and seller throughout the negotiation, with legal and financial advice provided by qualified professionals in each country.

The house's paper is intermediation, and Royal Blue is not part of the purchase and sale.

• the amounts announced are requested from the seller, subject to negotiation, confirmation and change without notice;
• films, registration, licenses, tax status, occupation conditions and possibility of use for short-season rentals should be checked in due diligence;
• in Brazil, the intermediation observes the legislation on real estate brokering and is exercised by broker or real estate registered in the competent CRECI;
• in Italy and the United States, the intermediation observes the local rules of qualification, and the business is conducted by licensed professionals of that jurisdiction;
• the remuneration of the intermediation, where appropriate, shall be adjusted in writing before the signature of any tender.

Buyer and seller must hire attorney, accountant and, where applicable, self-rater. Nothing in these Terms replaces this advice. Royal Blue does not provide tax advice and does not guarantee profitability, valuation, funding, visa or residence permit.

11Management of property of partner owners

Royal Blue manages third-party properties: cleaning and governance, maintenance, guest reception, daily trading and accountability to the owner.

Management is always formalized in its own contract, which defines the mandate, standard of service, pricing policy, the form and periodicity of the transfer, the deadlines and the hypotheses of termination. These Terms do not, by themselves, create any management relationship or oblige the house to accept a property.

Before the guest, the property managed is presented with the standard of the house. Before the owner, Royal Blue's powers are those of the management contract, and nothing but them.

12Operation in Italy and the United States

The house operates in three countries, and that has legal consequences that we prefer to say clearly.

• stays, services and real estate operations carried out outside Brazil are also governed by the law of the country and the place where the property is located — accommodation, licenses, local taxes, condominium rules, consumer relations and real estate law;
• local requirements for guest registration, communication to authorities, tourism fees and loading limits are met according to the law of the place, and the guest collaborates with the necessary documents;
• the specific contracts of each stay, service, purchase and sale or management may elect law and forum itself; in this case, prevail over section 20 of these Terms as to that operation.

Nothing in these Terms removes the right of the consumer's home law to ensure it in an imperative manner.

13Intellectual property

The Royal Blue brand, the expression Royal Blue Resorts Hotels, the coat of arms, the logo, the signature “Peace is Luxury. Stay.”, the texts, photographs, videos, graphic design, selection and organization of the content and the website code are protected by intellectual property law, among others Law No. 9,610/1998 and Law No. 9.279/1996.

It is allowed to view, browse and print pages for personal use. It is forbidden to reproduce, distribute, publish, modify, translate or commercially exploit any part of the content without Royal Blue's written permission.

Part of the photos of the site is licensed from third parties and used according to the license of each image. Some images are illustrative and can show similar environments, not necessarily the property as it is today. What counts for the stay is what is described in the written confirmation.

Suggestions, comments and materials spontaneously sent to the house can be used without consideration, unless otherwise agreed.

14Third party content and links

The site may contain links to third party sites and applications — maps, social networks, message applications, partners and local providers.

These destinations have their own terms and policies, which the user should read. Royal Blue does not control the content, availability, security or privacy practices of third parties, and does not answer for them.

The presence of a link does not mean endorsement, society or recommendation.

15Website availability

The site is offered in the state in which it is located and according to availability. The house works to keep you in the air, up-to-date and secure, but does not guarantee uninterrupted operation or absence of errors.

Maintenance, updates, hosting, connection or power failures, attacks, authority orders and fortuitous or force majeure cases may render the site unavailable, in whole or in part, with or without notice.

Royal Blue may change, suspend or terminate the website, pages, features and content at any time. No property, price or service displayed constitutes a permanent offer.

16Limitation of liability

Royal Blue responds to the damage it causes under the law. Within the limits of what the law allows, and without removing the rights granted to the consumer by Law 8.078/1990, the house does not answer for:

• damages arising from unavailability, error or interruption of the site;
• price information, availability or description not yet confirmed in writing;
• outgoing profits, loss of chance and indirect damage;
• acts of third parties — suppliers contracted on behalf and order of the customer, local providers, sellers and buyers of real estate, transport operators;
• Fortuitous case, force majeure, weather events, sanitary restrictions, strikes, authority decisions and border closure;
• damages arising from non-compliance with the rules of the house, misuse of the property or incorrect information provided by the contractor.

We recommend travel insurance for the stays and own insurance for events.

With Royal Blue's responsibility for a stay or service, it is limited, as far as the law permits, to the amount actually paid by the contractor in that stay or service.

17Compensation

The user will indemnify Royal Blue, its partners, administrators and employees for losses, damages, fines and expenses, including reasonable attorney fees, arising from:

• use of the website in disagreement with these Terms or the law;
• breach of third-party law, including intellectual property;
• false information, or third-party data provided without authorisation;
• damage caused to the property, people or neighbors during the stay or event contracted by it.

The house will inform the user and you can conduct your own defense, with his collaboration.

18Protection of personal data

The processing of personal data by Royal Blue is described in the Privacy Policy, which integrates these Terms.

In summary: the necessary data are collected to respond to a request for quotation or reservation, formalize the stay, provide the contracted services, conduct a real estate operation, comply with legal and tax obligations and communicate news when there is authorization. The treatment observes Law No 13.709/2018 (LGPD) and, when involving people in the European Union, Regulation (EU) 2016/679.

As the house operates in three countries, there may be international data transfer. It follows the safeguards laid down in applicable law.

Applications for access, correction, portability, elimination and other rights of the holder are received in [E-MAIL OF PRIVACY].

19Changes to these Terms

Royal Blue may change these Terms at any time, to monitor changes in operation, technology or law.

The current version is always published on this page, with the update date at the top. Using the site after publication means accepting the new version.

Relevant changes are communicated prominently on the website and, having an ongoing contractual relationship, directly to the contractor. Reservations already confirmed follow the conditions in force on the date of confirmation.

20Applicable legislation and forum

These Terms are governed by the laws of the Federative Republic of Brazil, in particular the Civil Code (Law No. 10.406/2002), the Consumer Protection Code (Law No. 8.078/1990) and the Civil Law of the Internet (Law No. 12.965/2014).

The court of [FORO/COMARCA] is elected to resolve the controversies arising from these Terms, with resignation from any other, as privileged as it may be. The consumer may take action in the forum of his home, in accordance with Article 101, I, of the Consumer Protection Code.

For stays, services and real estate operations outside Brazil, the provisions of section 12 are also valid.

21General provisions

• the nullity or ineffectiveness of a clause does not affect the others, which remain in force;
• the tolerance to non-compliance with any obligation is neither novation nor waiver of the right to require it afterwards;
• these Terms do not create a partnership, mandate, employment bond or franchise between Royal Blue and the user;
• the user cannot give up his contractual position without written authorization; Royal Blue may grant rights and obligations in corporate reorganization, maintained the contractor's guarantees;
• written communications shall be valid when sent to the e-mail informed by each party;
• the site is published in brazilian portuguese. If it is published also in Italian or English, there is divergence between the versions the Portuguese version of Brazil prevails.

These Terms, the Privacy Policy and the specific contract of each transaction form the agreement between the parties on its object.
